1Introduction and Agreement to Terms

Welcome to SHPD. These Terms and Conditions ("Terms") constitute a legally binding agreement between you and SHPD Global Services Ltd., its subsidiaries, affiliates, successors, and assigns (collectively, "SHPD," "we," "our," or "us") governing your access to and use of the SHPD platform, including our website, mobile applications, and all related services, features, content, and products provided by SHPD (collectively, the "Services").

BY ACCESSING OR USING THE SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS AND OUR PRIVACY POLICY, WHICH IS INCORPORATED HEREIN BY REFERENCE. IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST NOT ACCESS OR USE THE SERVICES.

We reserve the right to modify these Terms at our sole discretion at any time. If we make material changes to these Terms, we will provide notice through the Services, via email, or by other means to provide you the opportunity to review the changes before they become effective. Your continued use of the Services after we publish or send a notice about our changes to these Terms means that you are consenting to the updated Terms.

2Definitions

For clarity and consistency throughout these Terms, the following definitions shall apply:

  • 2.1 "Agreement"

    These Terms and Conditions, together with the Privacy Policy, Community Guidelines, and any other agreements or policies referenced herein or that we otherwise notify you are applicable, all of which are incorporated by reference.

  • 2.2 "Traveler"

    A registered user who offers to transport Items on behalf of Senders during their pre-planned travel journeys in exchange for compensation.

  • 2.3 "Sender"

    A registered user who wishes to have Items transported from one location to another and is willing to pay a Traveler for this service.

  • 2.4 "Item"

    Any physical object that a Sender wishes to have transported by a Traveler, subject to the restrictions set forth in these Terms.

  • 2.5 "Platform Fee"

    The fee that SHPD charges for facilitating the transaction between the Traveler and Sender, calculated as a percentage of the Transportation Fee.

  • 2.6 "Transportation Fee"

    The amount paid by the Sender to the Traveler for the transportation of an Item, as agreed upon through the Services.

  • 2.7 "Intellectual Property Rights"

    Any and all rights existing from time to time under patent law, copyright law, trade secret law, trademark law, unfair competition law, and any and all other proprietary rights, and any and all applications, renewals, extensions and restorations thereof.

  • 2.8 "Delivery Arrangement"

    The agreement between a Sender and a Traveler for the transportation of an Item, including the Transportation Fee, pickup location, delivery location, delivery date, and any other terms agreed upon through the Services.

3Eligibility and Account Registration

3.1 Eligibility Requirements

To use the Services, you must be at least 18 years of age and capable of forming a binding contract with SHPD. By accessing or using the Services, you represent and warrant that you meet all eligibility requirements. The Services are not available to users who have been temporarily or permanently suspended from the SHPD platform.

3.2 Account Registration

To access certain features of the Services, you must create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. SHPD reserves the right to suspend or terminate your account if any information provided during the registration process or thereafter proves to be inaccurate, not current, or incomplete.

3.3 Account Security

You are solely responsible for maintaining the confidentiality of your account credentials, including your username and password. You agree to notify SHPD immediately of any unauthorized use of your account or any other breach of security. SHPD cannot and will not be liable for any loss or damage arising from your failure to comply with this requirement. You acknowledge that SHPD may use various verification methods to confirm your identity and may request additional identification documents or information at any time.

3.4 Identity Verification

To ensure the safety and security of our platform, we may require users to verify their identity through various means, which may include but are not limited to: verification of email address, phone number, submission of government-issued identification documents, and linking to validated social media accounts. You acknowledge that failing to complete required verification steps may limit your ability to use certain features of the Services.

3.5 One Account Per Person

You may not create or maintain more than one account with SHPD. Additionally, you may not assign or otherwise transfer your account to any other person or entity. If SHPD determines that you have created multiple accounts, we reserve the right to merge or terminate such accounts at our sole discretion.

4Platform Services and User Obligations

4.1 Nature of Services

SHPD operates a platform that connects Travelers with Senders. SHPD does not provide transportation services, nor does it act as a carrier, freight forwarder, broker, or agent for any user. SHPD's role is limited to facilitating the connection between users who wish to enter into a Delivery Arrangement.

4.2 No Guarantee of Availability

SHPD does not guarantee the availability of any Traveler or the ability to deliver any Item within a specified timeframe. The Services are provided on an "as is" and "as available" basis, and the availability of Travelers and successful completion of Delivery Arrangements are subject to various factors beyond SHPD's control.

4.3 Traveler Obligations

If you use the Services as a Traveler, you agree to:

  • Provide accurate information about your travel plans, including dates, routes, available space, and weight capacity
  • Transport only Items that have been properly arranged through the Services
  • Inspect all Items before accepting them to ensure they do not appear to be prohibited Items
  • Securely transport all accepted Items and deliver them to the designated recipient in the same condition as received
  • Comply with all applicable laws, regulations, and requirements related to the transportation of goods, including but not limited to customs, import/export, and security regulations
  • Maintain all necessary licenses, permits, and authorizations required for the transportation of Items in the jurisdictions through which you travel
  • Promptly communicate with Senders regarding any delays, issues, or changes to your travel plans that may affect the Delivery Arrangement
  • Accurately report the successful delivery or any issues with delivery through the Services

4.4 Sender Obligations

If you use the Services as a Sender, you agree to:

  • Provide accurate and complete information about the Item, including its dimensions, weight, value, and contents
  • Send only Items that are legal to possess and transport in all relevant jurisdictions
  • Properly package the Item to prevent damage during normal handling and transportation
  • Provide all necessary documentation for the Item, including any customs forms, declarations, or permits required for lawful transportation
  • Make the Item available at the agreed pickup location and time
  • Ensure that the designated recipient is available to receive the Item at the agreed delivery location and time
  • Promptly confirm receipt of the Item or report any issues through the Services
  • Pay all applicable Transportation Fees, Platform Fees, customs duties, taxes, and other charges associated with the transportation of the Item

4.5 Prohibited Activities

You agree not to engage in any of the following prohibited activities in connection with the Services:

  • Circumventing the Services to arrange direct transactions with other users that should be conducted through the platform
  • Using the Services for any unlawful purpose or to violate any laws or regulations
  • Harassing, threatening, or intimidating any other user of the Services
  • Impersonating another person or entity, or falsely stating or otherwise misrepresenting your affiliation with a person or entity
  • Interfering with or disrupting the operation of the Services or the servers or networks used to make the Services available
  • Using the Services to send unsolicited communications, promotions, or advertisements, or to spam, phish, or pharm other users
  • Collecting or harvesting any information from the Services, including user profiles and contact information
  • Using the Services for any commercial purpose other than as expressly permitted by these Terms

5Prohibited Items

The following categories of Items are strictly prohibited from transportation through the Services. This list is not exhaustive, and SHPD reserves the right to refuse any Item at its sole discretion.

5.1 Illegal and Controlled Substances

  • Narcotics, controlled substances, and illegal drugs of any kind
  • Prescription medications without valid prescription documentation
  • Drug paraphernalia
  • Synthetic or designer drugs
  • Precursor chemicals used in drug manufacturing

5.2 Dangerous Goods

  • Explosives, fireworks, or pyrotechnics
  • Flammable materials, gases, or liquids
  • Radioactive materials
  • Corrosive substances
  • Toxic or infectious substances
  • Magnetic materials
  • Oxidizing agents and organic peroxides
  • Compressed gases

5.3 Weapons and Restricted Items

  • Firearms, ammunition, and components
  • Replica or imitation firearms
  • Knives, swords, and other bladed weapons
  • Self-defense items, including pepper spray, tasers, and stun guns
  • Martial arts weapons
  • Military or tactical equipment

5.4 Counterfeit and Stolen Goods

  • Counterfeit currency, documents, or identification
  • Stolen property or merchandise
  • Counterfeit merchandise or unauthorized replicas
  • Fraudulent documents or materials

5.5 Biological Materials

  • Human organs, tissue, or bodily fluids
  • Live animals or animal parts from endangered species
  • Biological agents, toxins, or pathogens
  • Unprocessed plant materials subject to agricultural restrictions

5.6 High-Value or Sensitive Items

  • Currency exceeding legal transport limits
  • Negotiable instruments in bearer form
  • Precious stones, metals, or jewelry exceeding $5,000 in value
  • Rare collectibles or artifacts exceeding $5,000 in value
  • Original artwork exceeding $5,000 in value
  • Personal or sensitive data in physical form

5.7 Other Prohibited Items

  • Pornographic or obscene materials
  • Materials that promote hatred, violence, or discrimination
  • Hazardous waste or environmental contaminants
  • Any Item whose transportation is prohibited by applicable law in any jurisdiction through which it will travel
  • Human remains or ashes
  • Items requiring refrigeration or controlled environmental conditions
  • Perishable goods that may spoil during transit

Important Notice:

Attempting to ship prohibited Items may result in immediate account termination, reporting to relevant authorities, civil liability, and potential criminal prosecution. It is your responsibility to ensure that all Items comply with the laws and regulations of all countries involved in the transportation route.

6Payments, Fees, and Taxes

6.1 Payment Processing

SHPD facilitates payments between Senders and Travelers through our secure payment system. When a Sender and Traveler agree to a Delivery Arrangement, the Sender must pay the agreed Transportation Fee plus any applicable Platform Fees through the Services. SHPD will hold these funds in escrow until the Delivery Arrangement is completed.

6.2 Platform Fees

SHPD charges a Platform Fee for facilitating Delivery Arrangements through the Services. The Platform Fee is calculated as a percentage of the Transportation Fee and is automatically included in the total amount paid by the Sender. The specific percentage charged may vary based on factors such as the value of the Item, the distance of transportation, the complexity of the Delivery Arrangement, and other considerations.

Current Platform Fees are displayed at the time of booking and may be updated from time to time at SHPD's discretion. Any changes to the Platform Fee structure will be communicated to users before they take effect.

6.3 Payment Disbursement

After the Traveler confirms delivery of the Item and the Sender confirms receipt, SHPD will release the Transportation Fee (minus the Platform Fee) to the Traveler's account. The Traveler may then withdraw these funds according to the available withdrawal methods and subject to any applicable withdrawal fees or minimum withdrawal amounts.

If the Sender does not confirm receipt within 48 hours after the Traveler confirms delivery, and no dispute has been initiated, SHPD may automatically release the funds to the Traveler.

6.4 Taxes

You are solely responsible for determining and paying any taxes that may apply to your transactions on the Services, including but not limited to income taxes, sales taxes, value-added taxes, customs duties, and any other government-imposed fees or charges.

SHPD may be required by law to collect and remit certain taxes on behalf of users, which will be clearly indicated during the payment process. SHPD may also be required to report transaction information to tax authorities in various jurisdictions.

Travelers acknowledge that income earned through the Services may be taxable and may require them to register as independent contractors or businesses in certain jurisdictions.

6.5 Currency Conversion

All payments processed through the Services are denominated in the currency specified during the transaction process. If your payment method is denominated in a different currency, your payment provider may convert the payment amount at an exchange rate and may charge additional conversion or transaction fees.

6.6 Refunds and Cancellations

Refunds and cancellations are processed according to the following policies:

7Disputes and Resolution

7.1 Dispute Process

If a dispute arises regarding a Delivery Arrangement, either party may initiate the dispute resolution process by contacting SHPD's support team within five (5) business days of the scheduled delivery date. SHPD will review the dispute and may request additional information, documentation, or evidence from the parties involved.

7.2 Types of Disputes

Common disputes that may be addressed through SHPD's dispute resolution process include, but are not limited to:

  • Item not delivered
  • Item damaged during transport
  • Item not as described
  • Delivery delayed beyond agreed timeframe
  • Pickup or delivery location changed without agreement
  • Unauthorized charges or payment issues

7.3 Evidence Requirements

To support a dispute claim, you may be required to provide:

  • Photographs of the Item before and after transportation
  • Delivery confirmation receipts or messages
  • Communications between the parties related to the Delivery Arrangement
  • Documentation of the Item's value (for damage claims)
  • Any other evidence relevant to the specific dispute

7.4 Resolution Authority

You agree that SHPD has the sole authority to determine the outcome of any dispute based on the evidence provided and the applicable policies. SHPD's decision may include:

  • Full or partial refund to the Sender
  • Full or partial payment to the Traveler
  • Compensation for damaged or lost Items, up to the declared value
  • Account suspension or termination for policy violations
  • Any other remedy deemed appropriate by SHPD

7.5 Arbitration Agreement

For any dispute not resolved through SHPD's internal dispute resolution process, you agree to resolve the dispute through binding arbitration rather than in courts of general jurisdiction. The arbitration shall be conducted by a single arbitrator in accordance with the commercial arbitration rules of the International Chamber of Commerce.

This arbitration agreement does not preclude you from bringing issues to the attention of federal, state, or local agencies, nor does it prevent you from seeking remedies in small claims court for disputes or claims within the jurisdiction of such court.

7.6 Class Action Waiver

You agree that any arbitration or proceeding shall be limited to the dispute between us and you individually. To the full extent permitted by law, (a) no arbitration or proceeding shall be joined with any other; (b) there is no right or authority for any dispute to be arbitrated or resolved on a class action basis; and (c) there is no right or authority for any dispute to be brought in a purported representative capacity on behalf of the general public or any other persons.

7.7 Governing Law

These Terms and any action related thereto will be governed by the laws of the United Kingdom without regard to its conflict of laws provisions. The exclusive jurisdiction and venue of any action with respect to the subject matter of these Terms will be the courts located in London, United Kingdom, and you waive any objection to jurisdiction and venue in such courts.

8Intellectual Property

8.1 SHPD Intellectual Property

The Services, including all content, features, functionality, and user interfaces, are owned by SHPD or its licensors and are protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. Nothing in these Terms grants you any right, title, or interest in or to the SHPD Intellectual Property.

8.2 Limited License

Subject to your compliance with these Terms, SHPD grants you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Services for your personal, non-commercial use. You may not use the Services for any other purpose without SHPD's prior written consent.

8.3 Restrictions

You may not:

  • Modify, adapt, or hack the Services or modify another website so as to falsely imply that it is associated with the Services
  • Use the Services in any manner that could interfere with, disrupt, negatively affect, or inhibit other users from fully enjoying the Services
  • Use any robot, spider, crawler, scraper, or other automated means or interface not provided by us to access the Services or to extract data
  • Use or attempt to use another user's account without authorization
  • Attempt to circumvent any content filtering techniques we employ, or attempt to access areas or features of the Services that you are not authorized to access
  • Develop or use any third-party applications that interact with the Services without our prior written consent
  • Use the Services for any illegal or unauthorized purpose, or engage in, encourage, or promote any activity that violates these Terms

8.4 User Content

When you submit, upload, transmit, or display content through the Services ("User Content"), you grant SHPD a worldwide, non-exclusive, royalty-free, fully paid, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display such User Content in connection with operating and providing the Services.

You represent and warrant that: (a) you own the User Content or have the right to grant the rights and licenses specified in these Terms; and (b) the User Content does not violate these Terms or any rights of any other person or entity, including any intellectual property rights, rights of privacy or publicity, or contractual rights.

8.5 Feedback

If you provide SHPD with any feedback, suggestions, improvements, enhancements, or feature requests relating to the Services (collectively, "Feedback"), you grant SHPD a perpetual, irrevocable, non-exclusive, royalty-free, fully-paid, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display such Feedback in any manner and for any purpose.

8.6 Copyright Infringement

If you believe that any content on the Services infringes your copyright, please notify SHPD by providing the following information:

  • A description of the copyrighted work that you claim has been infringed
  • A description of where the material that you claim is infringing is located on the Services
  • Your contact information, including address, telephone number, and email address
  • A statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law
  • A statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf

Notices of copyright infringement should be sent to legal@shpd.com with the subject line "Copyright Infringement Notice."

9Limitation of Liability and Indemnification

9.1 Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. SHPD DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICES OR THE SERVERS THAT MAKE THE SERVICES AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. SHPD MAKES NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY OR COMPLETENESS OF THE CONTENT AVAILABLE ON OR THROUGH THE SERVICES OR THE CONTENT OF ANY WEBSITES OR MOBILE APPLICATIONS LINKED TO THE SERVICES. SHPD ASSUMES NO LIABILITY OR RESPONSIBILITY FOR (I) ERRORS, MISTAKES, OR INACCURACIES OF CONTENT, (II) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO AND USE OF THE SERVICES, (III) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SECURE SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION STORED THEREIN, (IV) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE SERVICES, (V) ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE WHICH MAY BE TRANSMITTED TO OR THROUGH THE SERVICES BY ANY THIRD PARTY, AND/OR (VI) ANY ERRORS OR OMISSIONS IN ANY CONTENT OR FOR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF THE USE OF ANY CONTENT POSTED, EMAILED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE VIA THE SERVICES.

9.2 Limitation of Liability

IN NO EVENT SHALL SHPD, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS, BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES WHATSOEVER RESULTING FROM (I) ERRORS, MISTAKES, OR INACCURACIES OF CONTENT, (II) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO AND USE OF THE SERVICES, (III) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SECURE SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION STORED THEREIN, (IV) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE SERVICES, (V) ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE, WHICH MAY BE TRANSMITTED TO OR THROUGH THE SERVICES BY ANY THIRD PARTY, AND/OR (VI) ANY ERRORS OR OMISSIONS IN ANY CONTENT OR FOR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF YOUR USE OF ANY CONTENT POSTED, EMAILED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE VIA THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT SHPD IS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE FOREGOING LIMITATION OF LIABILITY SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW IN THE APPLICABLE JURISDICTION.

IN NO EVENT SHALL SHPD'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, OR CAUSES OF ACTION EXCEED THE GREATER OF (A) THE AMOUNT YOU HAVE PAID TO SHPD IN THE SIX (6) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED POUNDS STERLING (£100).

9.3 Indemnification

You agree to defend, indemnify, and hold harmless SHPD, its officers, directors, employees, and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from: (i) your use of and access to the Services; (ii) your violation of any term of these Terms; (iii) your violation of any third-party right, including without limitation any copyright, property, or privacy right; (iv) any claim that your actions caused damage to a third party; or (v) your violation of any applicable laws, rules, or regulations. This defense and indemnification obligation will survive these Terms and your use of the Services.

9.4 Release

If you have a dispute with one or more users of the Services, you release SHPD (and our officers, directors, agents, subsidiaries, joint ventures, and employees) from claims, demands, and damages (actual and consequential) of every kind and nature, known and unknown, arising out of or in any way connected with such disputes.

If you are a California resident, you waive California Civil Code §1542, which says: "A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party."

10Term and Termination

10.1 Term

These Terms commence on the date you first use the Services and remain in full force and effect while you use the Services, unless terminated earlier in accordance with these Terms.

10.2 Termination by You

You may terminate these Terms at any time by closing your account, discontinuing your use of the Services, and providing SHPD with a notice of termination. If you terminate these Terms, you remain liable for all outstanding obligations related to the Services, including any pending Delivery Arrangements, fees, or other charges incurred before termination.

10.3 Termination by SHPD

SHPD may terminate or suspend your account and these Terms at any time, for any or no reason, without prior notice or liability. Without limiting the foregoing, SHPD may terminate or suspend your account if you breach any terms or conditions of these Terms, engage in illegal activity, create risk or possible legal exposure for SHPD, or if SHPD is unable to verify or authenticate any information you provide.

10.4 Effect of Termination

Upon termination of these Terms, your right to use the Services will immediately cease. SHPD shall not be liable to you or any third party for termination of your access to the Services. Upon termination:

  • Your access to the Services will be revoked
  • SHPD may delete or retain your account information and User Content at its sole discretion
  • Any pending Delivery Arrangements may be canceled or reassigned at SHPD's discretion
  • You remain liable for all outstanding obligations related to your use of the Services

10.5 Survival

All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, limitations of liability, and dispute resolution provisions.

11General Provisions

11.1 Entire Agreement

These Terms, together with the Privacy Policy and any other agreements expressly incorporated by reference herein, constitute the entire agreement between you and SHPD concerning your use of the Services and supersede all prior or contemporaneous communications, whether electronic, oral, or written, between you and SHPD with respect to the Services.

11.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect and enforceable. The remaining provisions shall not be affected or impaired thereby and shall remain valid and enforceable to the fullest extent permitted by law.

11.3 Assignment

These Terms, and any rights and licenses granted hereunder, may not be transferred or assigned by you, but may be assigned by SHPD without restriction. Any assignment attempted in violation of these Terms is void.

11.4 Force Majeure

SHPD shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including, but not limited to, acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, epidemics, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.

11.5 No Waiver

The failure of SHPD to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision. The waiver of any such right or provision will be effective only if in writing and signed by a duly authorized representative of SHPD. No waiver of any provision of these Terms shall constitute a waiver of any other provision, nor shall any waiver constitute a continuing waiver.

11.6 Relationship of the Parties

Nothing in these Terms shall be construed as creating a partnership, joint venture, agency, employment, or fiduciary relationship between you and SHPD. Neither party shall have the authority to bind the other in any manner whatsoever.

11.7 Notices

Any notices or other communications provided by SHPD under these Terms, including those regarding modifications to these Terms, will be given: (i) via email to the email address you provide; or (ii) by posting to the Services. For notices made by email, the date of receipt will be deemed the date on which such notice is transmitted.

11.8 Headings

The section headings in these Terms are for convenience only and have no legal or contractual effect.
